5. Enquiry Submissions

A client relationship is only established once we have accepted an engagement in writing, a conflict check has been completed, and an engagement letter has been issued and accepted. We reserve the right to decline any engagement without giving reasons.
6. Fees and Payment
Our fixed advisory fees are set out in the engagement letter for each matter. All fees are denominated in Malaysian Ringgit (RM). Fees are payable in accordance with the payment terms in the engagement letter. Gemilang Law reserves the right to withhold delivery of advice or documents where fees remain outstanding. For complex matters or ongoing retainer engagements, fees are agreed separately and documented before work commences.
7. Refund and Cancellation
Where a client terminates an engagement before completion, fees for work already performed are payable. Refunds for unused portions of a fixed fee engagement may be considered at our discretion, having regard to the stage of work completed and costs incurred. Fees for completed and delivered work are not refundable.
8. Confidentiality
All information shared with Gemilang Law in connection with an engagement is held under legal professional privilege and treated as confidential. We will not disclose client information to third parties except as required by law, with client consent, or as necessary to carry out the services (for example, disclosure to a counterparty in arbitration proceedings with your authority).
9. Intellectual Property
All content on this website — including text, layout, and design — is the intellectual property of Gemilang Law. You may not copy, reproduce, or distribute any content from this website without our prior written consent. 14. Termination
Either party may terminate an engagement with reasonable written notice. We may terminate an engagement immediately where ethical obligations require us to do so, where fees remain unpaid, or where continuing the engagement would put us in breach of applicable professional standards. Upon termination, your obligation to pay for completed work remains.
15. Dispute Resolution
Any dispute arising out of or in connection with these Terms or a client engagement shall first be subject to informal resolution by correspondence between the parties. If not resolved within 30 days, disputes shall be referred to mediation under the Asian International Arbitration Centre (AIAC) Mediation Rules. If mediation is unsuccessful, the dispute shall be resolved by arbitration under the AIAC Arbitration Rules, seated in Kuala Lumpur, Malaysia, with proceedings conducted in the English language.
16. Governing Law
These Terms and any engagement with Gemilang Law are governed by the laws of Malaysia. The courts of Malaysia have non-exclusive jurisdiction to hear any dispute not resolved by arbitration.
17. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
18. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised date. Continued use of this website after the posting of changes constitutes acceptance of the revised Terms.
